Terms of Service

These Terms of Service ("Terms") govern your use of DulyHandled ("DulyHandled," "we," "us," or "our"). By creating an account, texting our assistant number, or otherwise using the service, you agree to these Terms. If you do not agree, please do not use DulyHandled.

1. The service

DulyHandled is a communication assistant that:

The service is intended for coordination of legitimate business communication. It is not a replacement for a licensed professional, a legal adviser, an emergency service, or a regulated communication channel.

2. SMS messaging terms

Consent to Receive SMS Messages

Consent to receive SMS messages from DulyHandled is optional and is never a condition of requesting access, creating an account, or using any DulyHandled service. You provide consent only by checking the optional SMS consent box on our signup form at dulyhandled.com/get-started, or by texting our assistant number first. When you opt in, you agree to receive SMS messages from DulyHandled related to account setup, service updates, onboarding notifications, and other service-related information.

Once a Contractor is onboarded, the DulyHandled assistant number may also relay messages between the Contractor and the Contractor's own pre-existing business contacts (clients, crew, vendors) for coordination purposes. Contractors are responsible for obtaining permission from each such contact before adding them to the service.

Opt-Out Policy

You may opt out of receiving text messages at any time by replying STOP (other accepted keywords: STOPALL, OPTOUT, CANCEL, END, QUIT, UNSUBSCRIBE, REVOKE). After opting out, you will no longer receive SMS messages from DulyHandled until you reply START or YES to resubscribe.

Message Frequency and Rates

Message frequency will vary depending on your service activity and your account usage. Message and data rates may apply according to your mobile carrier's plan. DulyHandled does not charge end-recipients (clients, crew, or vendors) for messages; only the Contractor account holder pays for the service.

Carrier liability

Wireless carriers are not liable for delayed or undelivered messages.

3. Accounts and Contractor responsibilities

By creating a Contractor account you agree to:

Contractor responsibility for contact consent

Contractors are responsible for obtaining permission from each person before adding that person to DulyHandled for SMS messaging. Contractors may only add contacts who have agreed to receive project-related coordination SMS from the contractor's DulyHandled assistant number.

Contractors must not add contacts for marketing, promotional, political, bulk, or unrelated messaging. DulyHandled may suspend or restrict accounts that add contacts without proper consent or use the service for prohibited messaging.

We reserve the right to suspend or terminate accounts that violate these terms or that pose a compliance risk to carriers.

5. Third-party services

DulyHandled depends on third-party service providers to operate, including:

6. AI-generated content

Translations and summaries are produced by AI. They are generally accurate but are not guaranteed. You remain responsible for what you send. We recommend reviewing drafts before using the send-on-behalf feature (DulyHandled requires you to reply YES before any draft is sent to a contact).

7. Intellectual property

You retain ownership of your messages and contact data. We retain ownership of the DulyHandled service, software, branding, and underlying systems. You grant us a limited, non-exclusive license to process your content for the sole purpose of providing the service.

8. Disclaimer of warranties

DulyHandled is provided on an "as is" and "as available" basis, without warranties of any kind. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

To the maximum extent permitted by law, DulyHandled will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or related to your use of the service. Our total aggregate liability in any matter will not exceed the amount you paid us in the twelve months preceding the claim, or one hundred U.S. dollars, whichever is greater.

10. Indemnification

You agree to indemnify and hold harmless DulyHandled from any third-party claim arising from your use of the service in violation of these Terms, your failure to obtain consent from contacts, or your misuse of the service.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified via email or in-product notice. Continued use of the service after changes take effect constitutes acceptance.

12. Termination

You may stop using the service at any time. We may suspend or terminate your account for violations of these Terms, for non-payment, or if required to maintain carrier compliance.

13. Governing law

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in California.
